Table of Contents
Article I. NameThis Association shall be known as "Mid-Continental Association of Food and Drug Officials", hereinafter referred to as the "Association." Article II. ObjectivesThe objective of this Association shall be to promote and foster the enactment and enforcement of uniform legislation for the protection of public health and the prevention of fraud and deception in the production, manufacture, distribution, and sale of food products, drugs, cosmetics, and therapeutic devices; to promote and foster cooperation among the various officials in all matters pertaining to the enforcement of the various regulatory laws entrusted to them; to encourage and develop uniform administrative and inspection procedures; and to support similar objectives when advanced by the Association of Food and Drug officials. Article III. MembershipSection 1. Members of the Association shall be employed by federal, state, county, or municipal governments charged with the enforcement of federal, state, county, or municipal food, drug, cosmetic devices or environmental health laws, ordinances or regulations in the states of Arkansas, Iowa, Kansas, Missouri, Nebraska, Oklahoma, and Texas. Members shall be entitled to the full rights and privileges of the Association. Section 2. Associate members shall be persons other than federal, state, county, or municipal employees who are interested in furthering the objectives of the Association. Associate members shall be nonvoting members, shall not hold office and may serve as advisors to committees without vote. Section 3. Retired members shall be persons who during the period of their employment held active membership in the Association. Retired members shall be nonvoting members who may attend business meetings and serve on committees. Section 4. Metro Affiliate member is a member of any metropolitan or similar group of persons employed by state, county, or municipal governments, affiliated with the Mid-Continental Association of Food and Drug Officials. To serve on committees or hold elective office, Metro Affiliate members shall be a member of the Association. Article IV. OfficersSection 1. The officers of this Association shall consist of a president, vice-president, secretary-treasurer, two members-at-large of the Executive Committee, and a director and alternate director representing their Association on the Board of Directors of the Association of Food and Drug Officials. Section 2.
Section 3. Officers shall be elected at each annual meeting from and by members of the Association. A majority of votes cast shall be necessary for election office. Section 4. All officers shall hold office through the last session of the annual meeting of the year in which their term of office expires. Upon the adoption of this constitution, there shall be elected a member-at-large of the Executive Committee to serve two years, and at each annual meeting thereafter, there shall be elected one member-at-large of the committee to serve for a period of two years. Section 5. The designation of "Director" may be given to one or more appropriate individuals from each member state who is willing to serve in such capacity. The designee will be named by the president, serve at the will of the president, be an active Association member (or be willing to become active), and hold a policy development and/or administrative position involved in the regulation of foods, feeds, drugs, cosmetics, or medical devices. The Director shall be considered a standing committee whose chair will be named by the Association president. The committee may meet from time to time as they deem necessary, but shall be encouraged to meet during the annual meeting, and as ex-officio members, to attend meetings of the Executive Committee. In addition to discussing regulatory issues that may be of concern to the Directors, their duties shall include being a resource to the Executive Committee for resolutions, policy matters, or seminars and training sessions which may be planned. Article V. Duties of OfficersThe president shall preside at all meetings and shall appoint such committees as shall be required or authorized. The president shall be chairman of the Executive Committee. The vice-president shall act in the capacity of president in the absence of the president. The secretary-treasurer shall keep a record of the proceedings of each meeting of the Association, and of the Executive Committee, conduct correspondence for the Association and issue such notices as may be directed by the president. The secretary-treasurer shall be custodian of the funds of this Association, and shall pay all bills audited and approved by the president. He shall make a report to the Association at each annual meeting. The two elected members-at-large of the Executive Committee shall serve with the officers at all such committee members. The Director, or alternate, elected by their Association to the Board of Directors of the Association of Food and Drug Officials shall represent the Association at meetings of that Board and shall serve on the Executive Committee of this Association. Article VI. CommitteesSection 1. There shall be an Executive Committee and such other committees as may be agreed upon by the Association and appointed by the president. Section 2. The Executive Committee shall consist of the president, vice-president, secretary-treasurer, the two selected members-at-large, and the director and alternate director elected by this Association to the Board of Directors of the Association of Food and Drug Officials. Any delegate to the Association elected from an affiliated metropolitan group shall be an ex-officio member of the Executive Committee. Section 3. The Executive Committee shall conduct the business affairs of the Association at each annual meeting. The executive Committee shall establish the policies of the Association. The Executive Committee shall select the time and place of the annual meeting, unless otherwise directed by the Association by a majority vote. Article VII. MeetingsSection 1. The annual meeting shall be held at such time and place as shall be designated by the Executive Committee. The majority of the members registered at the annual meeting shall constitute a quorum for the transaction of business. Section 2. Special meetings of the Association may be called by the Executive Committee, of which due notice shall be given the members by the secretary-treasurer. Section 3. The Executive Committee shall meet at the annual meeting and at such other times as the president or a majority of the members of the committee shall deem desirable in order to properly discharge their duties. Section 4. Business at all meetings shall be conducted in accordance with Robert's Rules of Order. Article VIII. DuesSection 1. Membership dues shall be fixed by the Executive Committee and shall be paid annually. Section 2. The amount of the registration fee for the annual meeting shall be fixed annually by the Executive Committee and shall be used for paying expenses at the annual meeting. Article IX. AmendmentsAmendments to the constitution may be adopted by two-thirds vote of the members present at the annual meeting. Amendments shall first be considered by the Executive Committee and reported with their recommendation to the members present at two separate sessions of said annual meeting. Article X. Effective DateThe constitution shall take effect immediately as adopted by the Association on March 30, 1984.
